Base pay range $130,000.00/yr - $165,000.00/yr SourcePro Search is conducting a search for an experienced Senior Corporate Paralegal with a bachelor’s degree and at least 5+ years of transactional experience in private equity, mergers and acquisitions, and public company matters . The ideal candidate will be comfortable working overtime as needed and have familiarity with equity tracking platforms such as Carta, Shareworks, or similar web-based systems. The ideal candidate will provide legal support with general corporate maintenance and complex transactions for both private and public company clients and have the technical skills and professional maturity to operate independently with minimal guidance from an attorney. They perform a range of tasks that assist the Firm in providing legal services to clients, including tasks that might otherwise be assigned to associates, all under the supervision of attorneys. What You'll Do: Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents Coordinate closings and prepare related documents Prepare legal opinions and assemble opinion back-up Draft and file corporate and securities filings Organize corporate records and conduct due diligence reviews Prepare stock certificates and maintain capitalization tables and option records Research Blue Sky issues and prepare required filings Provide training to case assistants and junior paralegals Other tasks as assigned or required What You'll Bring: 5+ years of transactional experience in Private Equity, M&A and Public Company matters is desired Available to work overtime, as required Excellent oral and written communication skills Strong attention to detail with the ability to manage multiple priorities and track extensive details Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred Familiarity with Carta, Shareworks, or similar Web based equity tracking system Seniority level Seniority level Mid-Senior level Employment type Employment type Full-time Job function Job function Legal Industries Law Practice and Legal Services Referrals increase your chances of interviewing at SourcePro Search, LLC by 2x Get notified about new Paralegal jobs in San Francisco Bay Area .
